BYLAWS for THE SOUTH BREVARD GARDEN CLUB ASSOCIATION

ARTICLE I – NAME

The name of this organization shall be the South Brevard Garden Club Association.

ARTICLE II – OBJECT

The objectives of this organization are to provide a link between the members of garden clubs, potential gardeners, and the general public; to increase the knowledge of horticulture, conservation, floral design and civic beautification.

ARTICLE III – MEMBERSHIP

Any garden club or horticultural society may join the organization by expressing an interest in and approval of the objectives of the association.

Each club shall appoint a delegate who shall attend business meetings and special events, act as liaison for their club and be eligible to vote.

ARTICLE IV – OFFICERS

1. The officers of the association shall be President, Vice-President, Secretary and Treasurer.

Those officers shall be elected for a term of two (2) years or until their successors are elected.

2. Duties of the Officers

A. President. The President shall preside at all meetings and as chief executive officer shall supervise the work and activities of all standing and special committees. She/He shall be ex- officio member of all committees except the nominating committee.

B. Vice-President. The Vice-President shall exercise all duties of the President in her/his absence. She/He shall serve as the Web Administrator.

C. Secretary. The Secretary shall keep accurate minutes of all meetings of the association and shall perform such other duties as may be required in keeping with her/his office.

D. Treasurer. The Treasurer shall receive and disburse all monies as authorized by the association and shall submit a monthly statement. Transactions of a large monetary amount shall require two-thirds (2/3) affirmative vote of the members present.

3. Vacancies

In the event that the office of President becomes vacant, the Vice-President succeeds for the remainder of the term. All other vacancies shall be filled by a majority vote of the association.

ARTICLE V – ELECTIONS

1. A nominating committee of three (3) shall be elected at the November meeting in the odd-numbered years. Each officer shall be from a different club, if possible.

2. No officer may serve consecutive terms in the same office except the Secretary and the Treasurer.

3. The election of the officers shall be held in March of the odd-numbered years and a majority vote will elect. They will assume their duties at the close of the May meeting of that year.

ARTICLE VI – MEETINGS

1. The meetings of the association shall be held monthly from October through May excluding January unless otherwise ordered by the association.

2. The March meeting shall be known as the Annual Meeting and shall be for the election of officers in the odd-numbered year.

3. Special meetings of the association may be called by the President or may be called on the request of eight (8) members of the association.

4. The quorum shall be a majority of the qualified delegates, officers, and immediate past presidents of the association.

ARTICLE VII – SBGCA WEBSITE

This web site, sbgca.org, shall be the property of the South Brevard Garden Club Association who is responsible for all content and materials herein.

POLICY for SOUTH BREVARD GARDEN CLUB ASSOCIATION

  1. Each member club shall be hostess for one (1) meeting each year.

  2. Profit from financial projects will be used to further the objectives of the Association.

  3. No funds over $100 can be spent without prior approval of the Association.

  4. A gift not to exceed $20 to be selected by Vice- President and presented to the out going President.
